Supreme Court Lifts Nationwide Injunction on BOI Reporting

BREAKING NEWS

On Thursday January 23, 2025, the Supreme Court issued a stay on a nationwide injunction that had previously halted the enforcement of beneficial ownership information (BOI) reporting requirements for businesses. This decision allows the government to proceed with enforcing these rules.

However, it remains uncertain how the Financial Crimes Enforcement Network (FinCEN), responsible for enforcing BOI reporting requirements, will respond to this stay. The stay will remain in effect until the Fifth Circuit acts and possibly further review by the Supreme Court.

The BOI requirements are part of the Corporate Transparency Act (CTA), P.L. 116-283. FinCEN has estimated that 32 million small businesses would be required to file BOI reports.

We now await guidance from FinCEN to provide specific details and timing for the updated BOI reporting deadlines.

The last time a stay got lifted on BOI reporting FinCEN only extended the original due date by about two weeks. We will have to wait and see. Stay Tuned for FinCEN’s response!
